Terms of Service

1. Service Overview

AriseRFP ("the Service") is a productivity tool developed by Arise Technology Co., Ltd that assists cybersecurity professionals in analyzing Request for Proposal (RFP) requirements. The Service operates as a Google Workspace Add-on integrated with Google Sheets, supported by a web-based administration portal, and a standalone web application.

The Service uses artificial intelligence to compare RFP requirements against vendor documentation uploaded by users, generating compliance assessments, technical explanations, and supporting references.

2. Acceptance of Terms

By installing, accessing, or using AriseRFP, you agree to be bound by these Terms of Service. If you do not agree, you must not use the Service. Your organization's administrator is responsible for managing user access and ensuring compliance with these terms.

3. User Accounts & Access

• Access requires a Google Workspace account or email registration authorized by Arise Technology.
• Each user account is personal and non-transferable.
• Access is governed by a subscription plan and token allocation as set forth herein.
• Arise Technology reserves the right to suspend or terminate access for violation of these terms.

4. Subscription Plans & Billing

4.1 Available Plans

AriseRFP offers the following subscription tiers:

• Trial (Free): 250 tokens, limited documents/crawls, no payment required.
• Personal: $9.99/month (or $7.49/month billed annually), 1,000 tokens/month.
• PRO: $39.99/month (or $29.99/month billed annually), 10,000 tokens/month for up to 3 users.
• Enterprise: Custom pricing with unlimited tokens and users. Contact sales for details.

4.2 Token Definition

One (1) token represents one AI-powered analysis of a single RFP requirement row, producing a compliance verdict (Comply, Partial Comply, or Not Comply), technical explanation, and source citations.

4.3 Payment Processing

Paid subscriptions are processed through Paddle (paddle.com), our authorized merchant of record. By subscribing, you agree to Paddle's terms of service. Arise Technology Co., Ltd does not store your payment card information. All billing, invoicing, and VAT/tax collection is handled by Paddle on our behalf.

4.4 Subscription Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period — you retain access for the remainder of the paid period.

4.5 Price Changes

We reserve the right to change subscription prices with at least 30 days' advance notice sent to your registered email address. Your continued use after the effective date constitutes acceptance of the new pricing.

4.6 Token Rollover

Unused tokens do not roll over to the next billing period. Tokens reset on the first day of each billing cycle.

6. Permitted Use

You may use AriseRFP to:

• Analyze RFP requirements against uploaded vendor documentation.
• Generate compliance assessments and technical explanations.
• Upload and manage vendor documentation for analysis purposes.
• Customize AI response styles through the skill profile system.
• Access the Service via the web portal and Google Sheets add-on.

7. Prohibited Use

You may not:

• Attempt to reverse-engineer, decompile, or extract the AI models or prompts.
• Use the Service to generate intentionally false or misleading compliance claims.
• Share your account credentials or allow unauthorized access.
• Upload malicious files, malware, or content that violates applicable laws.
• Use the Service in any way that violates export control regulations.
• Exceed your allocated token limits through automated or scripted access.
• Resell, sublicense, or redistribute access to the Service without written permission.

8. Intellectual Property

• Your Content: You retain all rights to documents you upload and RFP responses you create. Arise Technology does not claim ownership of your content.
• Our Service: The AriseRFP software, AI models, user interface, and documentation are the intellectual property of Arise Technology.
• AI-Generated Output: Compliance assessments generated by the Service are tools to assist your work. You are solely responsible for reviewing, validating, and taking ownership of any output submitted to third parties.

9. Disclaimer & Limitation of Liability

• The Service is provided "as is" without warranties of any kind, express or implied.
• Arise Technology shall not be liable for any indirect, incidental, or consequential damages arising from use of the Service.
• Total liability shall not exceed the fees paid for the Service in the 12 months preceding the claim.

10. Service Availability

Arise Technology strives for high availability but does not guarantee uninterrupted service. The Service depends on third-party infrastructure (Google Cloud Platform, Google Workspace, Gemini AI, Paddle) which may experience outages beyond our control. Scheduled maintenance will be communicated in advance when possible.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated via email and the administration portal with at least 14 days' notice. Continued use after changes constitutes acceptance of the updated terms.

12. Governing Law

These Terms are governed by the laws of Singapore. Any disputes shall be resolved through arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
